What is a prospectus?

A prospectus is a formal legal document that offers investors essential information about securities for sale. A company or mutual fund may provide investors with a prospectus that covers important information, such as a company overview (including information about key executives), audited financial statements, financial performance, future financial projections, and a comprehensive disclosure of the risks associated with the investment. The prospectus should also include details about the type and number of securities that are being offered, the offering price, and how investors can purchase the securities, as well as any necessary legal considerations.

A prospectus is required by law for public offerings and must be filed with the relevant regulatory authority, such as the Securities and Exchange Commission (SEC).
